About Team / Role

WEX is seeking a Senior Paralegal to join their Securities and Corporate legal team. This role offers the opportunity to work on a variety of complex legal matters, including corporate, finance and securities law, that directly impacts the company's strategic initiatives. You will join a dynamic and collaborative legal team that is passionate about delivering results, building relationships with key stakeholders, and making a difference.

How you’ll make an impact

  • Assist with preparation and filing of NYSE and SEC filings (including Section 16 reporting, proxy statements, registration statements, earnings related documents, Forms 8-K, 10-Q, and 10-K); collaborate with other teams such as corporate governance, treasury, accounting, HR/compensation, finance, and investor relations, including assistance with gathering factual support, officer certifications and EDGAR Form IDs, POAs and code maintenance.

  • Assist with research related to SEC and NYSE filings, securities laws and governance practices 

  • Assist with the management of certain of the Company’s policies, including insider trading, related party transactions, and disclosure.

  • Support the planning, preparation and conduct of our company stockholder meetings and related documentation.

  • Manage and respond to requests for information and documents from the Company’s internal and external auditors, regulators, partners and other stakeholders.

  • Collaborate with cross-functional teams to support financings (including securities offerings and credit agreement related transactions), M&A and other strategic transactions, including providing support and project management for due diligence, ordering certificates of good standing and preparing and organizing deal documents and related schedules.

  • Provide support for maintaining compliance with certain corporate and securities legal contracts (including credit agreements and indentures).

  • Assist with legal aspects of compensation and benefits matters and equity matters, including the Company’s equity incentive plans, executive compensation and other compensation and benefits matters.

  • Provide support for other business and policy initiatives and implementation.

  • Support other special projects within the Securities and Governance legal department groups, including organization, review and project management related to corporate subsidiaries and board matters.

  • Provide legal support for the team’s review of certain internal and external corporate communications and investor relations materials. 

  • Provide excellent customer service to colleagues at all levels both within and outside the Legal team by responding to inquiries and requests for assistance in a timely and professional manner.

  • Other duties may be assigned.

  • Potential for minimal travel.

Experience you’ll bring

  • Recommended to have 5+ years of relevant and substantive experience in a law firm or corporate legal department setting.

  • General knowledge of public company securities and other obligations and governance.

  • Investigative mind and strong research skills.

  • Excellent written and oral communication and time management skills.

  • Excellent organizational skills.

  • Strong ability to multitask, manage time-sensitive documents and maintain exceptional organizational skills in a fast-paced environment.

  • Familiarity with Google Suite and Microsoft Office.

  • Familiarity with corporate legal tools and databases, specifically Intelligize, Workiva, and the SEC’s EDGAR filing system.

  • Must be able to function effectively in a busy, team-oriented environment.

The base pay range represents the anticipated low and high end of the pay range for this position. Actual pay rates will vary and will be based on various factors, such as your qualifications, skills, competencies, and proficiency for the role. Base pay is one component of WEX's total compensation package. Most sales positions are eligible for commission under the terms of an applicable plan. Non-sales roles are typically eligible for a quarterly or annual bonus based on their role and applicable plan.
